These Website Terms of Service (“Terms”) govern your access to and use of https://bpsystemsconsulting.com and its public pages, forms, content, and related features (collectively, the “Website”). The Website is operated by BP Systems Consulting LLC (“BP Systems,” “we,” “us,” or “our”).

By using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Website Purpose

The Website provides general information about BP Systems and allows businesses to learn about our services, request a data assessment, contact us, access resources, or schedule a conversation.

The Website is intended primarily for business use. You must be at least 18 years old and legally able to agree to these Terms to submit an inquiry or request services.

2. No Service Agreement Is Formed Through the Website

Submitting a form, requesting an assessment, scheduling a meeting, downloading a resource, or communicating with BP Systems through the Website does not by itself create a consulting relationship, software subscription, fiduciary relationship, or obligation for BP Systems to provide services.

Any paid or ongoing service will be governed by a separate proposal, order form, statement of work, master services agreement, or other written agreement accepted by BP Systems and the customer. If these Terms conflict with a signed customer agreement, the signed customer agreement controls for the services covered by it.

Website descriptions, examples, starting prices, timelines, and feature summaries are general information. Final scope, pricing, schedule, responsibilities, availability, and deliverables depend on assessment and written agreement.

3. No Professional Advice or Guaranteed Results

Website content is provided for general informational purposes. BP Systems does not provide legal, tax, accounting, financial, appraisal, valuation, brokerage, audit, or other licensed professional advice through the Website.

BP Systems may help businesses organize records and operating evidence, but we do not determine the value of a business or guarantee a financing, assessment, succession, sale, compliance, marketing, search-ranking, lead-generation, revenue, cost-savings, or other outcome.

You are responsible for obtaining advice from qualified professionals when needed and for deciding whether any service, recommendation, technology, or process is appropriate for your business.

4. Accurate Information and Communications

When you submit information through the Website, you agree to provide information that is accurate to the best of your knowledge and that you are authorized to provide.

By submitting an inquiry, you authorize BP Systems to respond using the contact information and method you provide. A Website inquiry does not enroll you in recurring marketing text messages, and consent to marketing is not a condition of purchasing services.

Do not submit passwords, account recovery codes, Social Security numbers, full payment-card information, protected health information, private customer lists, or other highly sensitive information through a public Website form.

5. Acceptable Use

You may use the Website only for lawful purposes. You may not:

  • Violate any law, regulation, court order, contract, or third-party right.
  • Submit information that you do not have the right or authority to provide.
  • Impersonate another person or misrepresent your identity, affiliation, or authority.
  • Attempt to gain unauthorized access to the Website, its accounts, systems, or data.
  • Probe, scan, bypass, disable, or interfere with security, rate limits, access controls, or availability.

BP Systems grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for your own lawful business-information purposes. Except as permitted by law or by written permission from BP Systems, you may not reproduce, distribute, sell, sublicense, publicly display, reverse engineer, modify, or create derivative works from the Website or its materials.

You may keep and use resources that the Website expressly makes available for download, subject to any terms shown with those resources.

7. Information and Feedback You Submit

You retain ownership of information and materials you submit. You grant BP Systems a limited right to receive, store, review, reproduce, and use that information as reasonably necessary to respond to you, evaluate your request, protect the Website, and operate our business in accordance with our Privacy Policy.

If you voluntarily provide general ideas or feedback about the Website or our services, BP Systems may use that feedback without restriction or payment, provided that we do not publicly identify you or disclose your confidential business information without permission.

Submitting information through a public Website form does not make BP Systems your confidential adviser. Confidentiality obligations for discovery materials, customer records, or project information must be established in a separate written agreement or expressly confirmed by BP Systems.

8. Third-Party Services and Links

The Website may include links to or features provided by third parties, such as scheduling, maps, email delivery, document hosting, social networks, or payment services. Third-party services are governed by their own terms, privacy policies, availability, and security practices.

BP Systems does not control and is not responsible for third-party websites, content, policies, outages, or actions. A link does not necessarily mean that BP Systems endorses every statement, product, or service offered by the third party.

9. Website Availability and Changes

We may change, update, suspend, restrict, or discontinue any part of the Website at any time. We do not guarantee that the Website will always be available, uninterrupted, secure, current, complete, or error-free.

We try to keep Website information accurate, but content may become outdated. Contact us for a current written scope or proposal before relying on service descriptions, pricing, features, or timing.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis. BP Systems disclaims all warranties concerning the Website, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

11. Limitation of Liability

To the fullest extent permitted by law, BP Systems and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising from or related to the Website.

To the fullest extent permitted by law, BP Systems' total liability arising from or related solely to your use of the public Website will not exceed one hundred U.S. dollars ($100).

These Website limitations do not replace or alter the liability terms in a signed customer agreement and do not apply where liability cannot lawfully be limited or excluded.

12. Responsibility for Misuse

To the extent permitted by law, you agree to be responsible for claims, losses, and reasonable costs arising from your unlawful use of the Website, your material violation of these Terms, or information you submit without the required rights or authority. This section does not require you to be responsible for BP Systems' own unlawful conduct.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information associated with the Website. By using the Website, you acknowledge that you have had an opportunity to review the Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute arising solely from the public Website or these Terms must be brought in a state or federal court with jurisdiction in Lehigh County, Pennsylvania, and each party consents to that court's jurisdiction and venue.

This section does not override the dispute-resolution or governing-law provisions in a signed customer agreement, and it does not prevent either party from seeking relief in another forum when applicable law does not allow this provision to be enforced.

15. Changes to These Terms

We may update these Terms as the Website or our practices change. We will post the revised Terms on this page and update the “Last updated” date. Changes apply prospectively from the stated effective date. Material changes will not retroactively alter a signed customer agreement.

16. General Terms

If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written permission. BP Systems may transfer these Terms as part of a merger, reorganization, sale of assets, or similar transaction.

These Terms, together with the Privacy Policy and any notices displayed on the Website, are the entire agreement concerning use of the public Website. Separate signed agreements govern paid and ongoing services.
